1. Acceptance of Terms

Welcome to Harvey AI, operated by HeyDividend Labs. ("HeyDividend," "we," "our," or "us"). By accessing or using Harvey AI through our website, mobile applications, or any other platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and HeyDividend. Please read them carefully.

2. Description of Service

Harvey AI is an artificial intelligence-powered assistant designed to provide information and insights about dividends, stocks, ETFs, and related financial topics. The Service includes:

• AI-powered conversational interface for dividend research
• Watchlist management for tracking securities
• Market insights and dividend analytics
• Mobile applications for iOS and Android
• API access for programmatic use (Pro subscribers)

The mobile application provides the same core functionality as the web version, including AI-powered chat, watchlist management, market insights, and account management. Certain features or interface elements may vary between web and mobile versions.

2.5 Mobile Application Terms

In addition to these Terms, your use of the Harvey AI mobile application is subject to the following:

• App Store Compliance: You must also comply with the applicable terms and policies of the platform from which you downloaded the application, including the Apple App Store Terms of Service or Google Play Terms of Service.
• Updates: We may release updates to the mobile application from time to time. Certain updates may be required for continued use of the Service. We recommend enabling automatic updates to ensure you have the latest features and security patches.
• Feature Variations: Certain features may vary between the web and mobile versions of the Service. We reserve the right to offer, modify, or discontinue features on any platform at our discretion.
• Push Notifications: The mobile application may send push notifications for dividend alerts, price alerts, and account-related updates. You can control push notification preferences through your device settings at any time.
• Offline Access: Certain features of the mobile application may require an active internet connection. Cached data viewed offline may not reflect the most current information.

3. Important Disclaimers

You acknowledge and agree that:

• Harvey AI is an AI system that may produce inaccurate, incomplete, or outdated information
• AI-generated responses should not be the sole basis for any financial decision
• Past performance of any security does not guarantee future results
• All investment involves risk, including the possible loss of principal
• We do not guarantee the accuracy, completeness, or timeliness of any information provided
• You are solely responsible for your investment decisions
• Harvey AI's machine learning scoring and predictions, including Harvey Score and dividend cut risk analysis, are algorithmic outputs based on historical and current data and are not guarantees of future performance or outcomes
• Real-time market data displayed in the Service may be delayed; you should rely on your broker or financial institution for trade execution and real-time pricing
• AI-generated podcast summaries, market digests, and other synthesized content are generated by artificial intelligence and may contain inaccuracies or omissions

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

Your account works across both the web and mobile platforms. You may access your account, watchlists, chat history, and subscription from any supported platform using the same credentials. Session tokens are stored securely on your device using platform-provided secure storage mechanisms.

5. Subscription Plans and Payment

Free Tier

The free tier provides limited access to Harvey AI with usage restrictions as described on our pricing page.

Paid Subscriptions

We offer Plus and Pro subscription plans with additional features. By subscribing:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings
• Refunds are provided in accordance with our refund policy

Price Changes

We may change subscription prices with at least 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service without our consent
• Collect user information without consent
• Engage in market manipulation or securities fraud
• Generate content that is illegal, harmful, or deceptive
• Impersonate any person or entity
• Use the Service for any commercial purpose without authorization

7. Intellectual Property

Our Content

The Service and its original content, features, and functionality are owned by HeyDividend and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving the Service.

AI-Generated Content

Responses generated by Harvey AI may be used by you for personal or commercial purposes, subject to these Terms. However, you acknowledge that similar or identical content may be generated for other users.

8. API Terms (Pro Subscribers)

If you access the Harvey AI API:

• You must comply with all rate limits and usage restrictions
• API keys are confidential and must not be shared
• You are responsible for all activity under your API keys
• You must not use the API to build competing products
• We may suspend or revoke API access for violations

8.5 Data Portability and Export

You may request an export of your personal data and user-generated content at any time. Upon request, we will provide the following data in a structured, commonly used format:

• Your watchlist data, including securities and associated notes
• Your chat history with Harvey AI
• Your account profile information

To request a data export, please contact us at privacy@heydividend.com. We will process your request within 30 days.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• IN NO EVENT SHALL HEYDIVIDEND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
• WE ARE NOT LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR FINANCIAL DAMAGES RESULTING FROM DECISIONS MADE BASED ON INFORMATION PROVIDED BY HARVEY AI
• WE ARE NOT LIABLE FOR MOBILE APPLICATION CRASHES, DATA LOSS ON YOUR DEVICE, CONNECTIVITY ISSUES, OR INTERRUPTIONS CAUSED BY YOUR DEVICE, OPERATING SYSTEM, OR NETWORK PROVIDER

11. Indemnification

You agree to indemnify, defend, and hold harmless HeyDividend and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any investment decisions you make based on information from the Service

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data
• Provisions that by their nature should survive will survive termination

You may terminate your account at any time by contacting us or through your account settings.

13. Dispute Resolution

Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in California.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive the right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Effective Date." Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and HeyDividend regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our consent.

16. Apple and Google Specific Terms

The following terms apply to your use of the Harvey AI mobile application downloaded from the Apple App Store or Google Play Store:

Apple App Store

• These Terms are between you and HeyDividend Labs only, and not with Apple Inc. ("Apple"). HeyDividend, not Apple, is solely responsible for the Harvey AI application and its content.
• Your use of the application must comply with the App Store Terms of Service.
• HeyDividend is responsible for providing any maintenance and support services for the application. Apple has no obligation to provide any maintenance or support services.
• In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the application.
• HeyDividend, not Apple, is responsible for addressing any claims relating to the application, including product liability claims, any claim that the application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, HeyDividend, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Google Play Store

• These Terms are between you and HeyDividend Labs only, and not with Google LLC ("Google"). HeyDividend, not Google, is solely responsible for the Harvey AI application and its content.
• Your use of the application must comply with the Google Play Terms of Service.
• Google is not responsible for the application or any content therein, and Google has no obligation to provide maintenance, support, or handle any claims related to the application.
